VIITPAY – Terms of Use

By accessing or using our website, platform, products, or services (collectively, the "Services"), you agree to these Terms of Use ("Terms"). The terms "platform", "service(s)", "solution" refer to the website and/or mobile application through which users access our services.

This service is offered by Vitdaa Global Resources Limited, a company in Nigeria and the terms "Viitpay" "we", "us" and "our" refer to the company. "You", "User" "your" refer to you, as an individual or entity using our service.

Our innovative platform is built on cutting-edge technology that ensures the highest level of security and reliability, we use state-of-the-art encryption to protect your personal and financial information.

These Terms of Use govern your use of the services provided by Vitdaa Limited through its platform, (ViitPay Mobile Application/Website) and other related services. Thus, by registering for or using (ViitPay Mobile Application/Website), you agree to be bound by these Terms of Service which constitute a legal agreement between you and Vitdaa, as well as our Privacy Policy and all applicable Nigerian laws and regulations.

It is important that you carefully read and understand these terms before using the services. If you do not agree to these terms, you should not use ViitPay.

Definitions

1. Terms of Acceptance

• By accessing or using Viitpay, whether through our website, mobile application, or any other platform, you acknowledge that you have carefully read, understood, and fully agreed to be bound by these Terms of Service.
• These terms include all provisions, policies, and guidelines that govern the use of our services.
• If you do not agree to these terms or any part thereof, you are prohibited from accessing or using ViitPay services.
• Your continued use of ViitPay services constitutes your ongoing acceptance and compliance with these Terms of Service.

2. Eligibility & Registration

• You must be at least 18 years old to open a ViitPay Account.
• In order to access and utilize our services, it is mandatory that you register or create account.
• During registration you must provide complete and accurate personal information (such as your legal name, phone number, address, date of birth, BVN or other ID) as part of the KYC (Know Your Customer) process. You may be required to submit identity documents or verification data to comply with regulatory requirements.
• By providing your BVN (Bank Verification Number) or other ID, you consent to ViitPay verifying and using this information for identity verification and fraud prevention.

3. User Responsibility/Conduct

By using our Services, you agree to:

• Provide accurate, updated information during registration.
• You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws. You must not use ViitPay for any fraudulent or illegal activities (such as money laundering, terrorist financing, or payment of unlawful goods/services). Any misuse of the Service is strictly prohibited.
• Account Security: You are solely responsible for maintaining the confidentiality of your Account login details, Transaction PIN, Security Question, and any other credentials. You must protect the secrecy of your PIN and login information and prevent any unauthorized use of your Account. If you suspect your credentials have been compromised or notice any unauthorized transactions, you must notify ViitPay immediately.
• Account Limits: Each User may hold only one ViitPay Account unless otherwise authorized. All Account activity must relate to you or your authorized organization. You must immediately update any changes to your registration data (e.g. name change, contact info) to keep your Account accurate.
• Compliance: You agree to cooperate with ViitPay in any verification or audit processes required by law. ViitPay reserves the right to refuse or suspend Account registration (or upgrade) if you are on any sanction lists or do not meet verification criteria.
• By using our services, you agree to accept any risks associated with the use of our services, and you agree to hold Vitdaa Global Resources Limited, our affiliates, and respective officers, directors, employees, and agents harmless from any loss or damage resulting from any interruptions or errors. You further acknowledge that the success of any application on our platform is dependent on various factors beyond our control network connectivity issues, system maintenance, or technical glitches.

4. Services We Provide

Viitpay provides a blended ecosystem of digital and physical offerings including:

• Money Transfers: ViitPay enables you to send Naira funds from your ViitPay Account to other ViitPay users, to eligible Nigerian bank accounts, or to participating mobile money wallets through the mobile app.
• Receiving Payments: You can receive money by providing your ViitPay Account Number to payers (individuals or merchants). Any incoming payment credited to that number will be deposited into your ViitPay Account.
• Paytaq (Cardless Payments): Using the Paytaq feature, you can make in-store or ATM payments without a physical card. You authorize transactions by entering your Transaction PIN and answering your Security Question on ViitPay's approved terminals. (No SMS OTP or physical ID is required for Paytaq.)
• Wallet Linking & Top-Up: You may link one or more external bank accounts or mobile money wallets to your ViitPay Account. You can top up (fund) your ViitPay wallet by transferring funds from a linked account or by other supported deposit channels. Linked partners may include CBN-licensed banks and MMOs.
• Other Services: ViitPay may offer additional services (e.g. bill payment, airtime purchase) from time to time. Use of any service is subject to these Terms and any specific terms notified to you.

5. Transaction Processing Rules

• Finality of Transactions: Once you authorize a transaction (by confirming details and entering your PIN), the transaction is processed and final. ViitPay cannot reverse a transaction upon your request except as required by law or network rules (e.g. clear system errors).
• Transaction Timing: Transactions are typically processed in real time. However, processing times may vary due to technical issues, network outages, banking hours, or other factors beyond ViitPay's control. ViitPay does not guarantee uninterrupted or instantaneous processing.
• Confirmation of Details: You must carefully verify all transaction details (such as recipient Account Number or mobile number and amount) before authorizing. ViitPay is not responsible for delays or failures caused by incorrect or incomplete payment instructions provided by you. In line with CBN guidelines, you are expected to confirm transaction details (e.g., recipient phone numbers, account details) prior to authorization.
• Fees and Charges: Any service fees, charges, or exchange rates will be disclosed to you at the time of the transaction or as published in the app. By initiating a transaction, you agree to pay the applicable fees.
• Limits and Restrictions: Transactions and balances may be subject to regulatory limits and internal risk limits (e.g. daily or per-transaction caps). You may not exceed your assigned transaction or withdrawal limits. If you attempt a transaction beyond permitted limits, ViitPay may decline it or require additional verification.
• Refunds and Reversals: If a transaction is reversed due to system error, fraud, or duplicate payment, ViitPay will correct it and notify you. If you sent money by mistake (e.g. wrong recipient), ViitPay is not obligated to recover funds but will cooperate with banks or authorities; any recovery is at our discretion.

6. Security and Fraud Protection

• User Responsibility: You must keep your Account information secure. Do not share your PIN, password, or Security Question answers with anyone. You are liable for all transactions made using your Account credentials. Protect your device from malware or unauthorized use.
• Monitoring and Reporting: ViitPay uses monitoring and fraud-detection tools to protect Accounts. We comply with regulations requiring prompt reporting of fraud cases and errors. If we suspect unauthorized activity or fraud on your Account, we may suspend or restrict Account access immediately.
• KYC and Identity Verification: By registering, you consent to ViitPay verifying your identity (including using your BVN or ID documents) and sharing information with authorized parties (e.g. CBN, banks, or law enforcement) for anti-fraud and AML/CFT (anti-money laundering/counter-terrorism) purposes.
• Data Security: We implement industry-standard technical and organizational measures (such as encryption and secure servers) to protect your personal and financial data against unauthorized access, loss, or alteration. However, no system is 100% secure; you agree that ViitPay is not liable for breaches beyond our reasonable control.

7. Record Keeping

• When a user deletes their account, we ensure that their information is handled in accordance with our policies and legal obligations. As such, we reserve the right to retain certain information, including past transaction records, for record-keeping purposes and as a requirement of law on data storage and management.
• Retaining past transaction records is important for a number of reasons. First, it allows us to maintain an accurate record of the transactions that have taken place on our platform. This is important for accounting and auditing purposes, as well as for resolving any disputes that may arise in the future. Additionally, retaining past transaction records helps us to comply with legal and regulatory requirements, such as tax laws and financial regulations.
• Please note that while we retain past transaction records, we will not use or disclose this information for any purpose other than those described in our Privacy Policy, unless required by law or in response to a valid legal request. 8. Prohibited Conduct

• We take the security and integrity of services very seriously, and expect users to do the same. By using our services, you agree to comply with our Terms of Service and refrain from using Viitpay for any illegal, fraudulent, or unauthorized purpose.
• In addition, you agree not to engage in any conduct that could damage, disable, overburden, or impair our services. This includes any attempt to gain unauthorized access to our systems or networks, or to interfere with the operation of our services in any way.
• We reserve the right to investigate any suspected violation of our Terms of Service and to take appropriate action, including suspension or termination of your account, if determined that you have violated our policies. We reserve the right to cooperate with law enforcement authorities and other third parties to investigate and prosecute any illegal or fraudulent activities on our platform without recourse to the affected user.

9. Intellectual Property

• We take the protection of our intellectual property very seriously and expect all users to do the same. By using our services, you agree to respect Viitpay's intellectual property rights and to refrain from using any content or materials on the Viitpay platform for any commercial or non-commercial purpose without our prior written consent.
• All content and materials included on ViitPay, including but not limited to text, graphics, logos, images, videos, source code, models, and software are the property of ViitPay and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, publicly display, or create derivative works of any platform content, trademarks, or other proprietary materials, except where expressly authorized in writing by ViitPay.
• Users are strictly prohibited from using ViitPay's media assets, including but not limited to images, models, or videos outside the platform without explicit, written authorization. Unauthorized use may result in legal action or termination of account access.
• By uploading any media content (such as product photos, logos, or promotional materials) to the ViitPay platform, vendors grant ViitPay a worldwide, royalty-free, perpetual, and exclusive license to use, display, modify, distribute, and commercialize such content within and outside the platform for marketing or operational purposes.
• You acknowledge that any content, feedback, suggestions, or ideas submitted to ViitPay may be used, modified, or commercially exploited without obligation or compensation to you. You agree to indemnify and hold ViitPay harmless from any claims or liabilities resulting from your misuse of any platform materials.
• Viitpay reserves the right to investigate and take legal or administrative action in response to any suspected violations of our intellectual property policies. This includes suspending or terminating your account, and cooperating with law enforcement or third parties when required.

10. Disclaimer/Warranties

While we take reasonable steps to ensure the smooth functioning of our platform, we do not guarantee uninterrupted, error-free services and will not be liable for any loss or damage arising from any service interruptions or errors. You acknowledge that there may be instances where an application/transaction may fail or be delayed due to reasons such as network connectivity issues, system maintenance, or technical glitches. We will not be liable for any loss or damage resulting from such failures or delays.

• Kindly note that our platform is provided on an "as is" and "as available" basis, without any express or implied representation or warranty regarding its availability, reliability, or suitability for any particular purpose.
• We cannot guarantee the accuracy, completeness, timeliness, or reliability of any information, content, or materials available on our platform.
• While we strive to ensure that our platform is available at all times, we do not warrant that it will be uninterrupted, secure, or error-free.
• Please note that your use of our platform is at your own risk, and we will not be liable for any damages, losses, or expenses arising from or related to your use of our platform, including but not limited to any direct, indirect, incidental, consequential, or punitive damages, and regardless of the cause of action or legal theory under which the liability is asserted.

11. Limitation of Liability

• No Indirect Damages: Except as required by law, ViitPay shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from your use of the Services. Our liability for any claim (including negligence) will not exceed the amount of fees you paid in the relevant transaction. This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not have been advised of the possibility of such damages.
• External Factors: We are not responsible for delays, failures, or losses caused by banking systems, network outages, or events beyond our control (e.g. force majeure).
• User Negligence: ViitPay is not liable for losses resulting from your failure to follow these Terms (for example, sharing your PIN or providing incorrect transaction details).
• You acknowledge and agree that the limitations of liability and disclaimers of warranties in these Terms of Service are a fundamental part of the basis of the bargain between you and ViitPay, and that we would not be able to provide our platform on an economically feasible basis without such limitations.
• TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM OUR SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

12. Governing Law and Jurisdiction/Dispute Resolution

These Terms of Service and any dispute arising from or related to these Terms of Service or your use of our platform will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

• Amicable Settlement: In case of any dispute arising under these Terms, you should first contact our customer support to attempt an amicable resolution.
• Jurisdiction: Any unresolved dispute shall be subject to the exclusive jurisdiction of the courts of Nigeria (for example, courts in Lagos or Abuja). You and ViitPay irrevocably submit to the jurisdiction of such courts.

13. Termination

• Voluntary Termination: You may close your Account at any time by deactivating the app and withdrawing any remaining balance, subject to applicable terms.
• You have the right to terminate this Agreement at any time by providing us with written notice. Similarly, we may terminate this Agreement or suspend your access to our Services for any reason, with or without notice, and at our sole discretion. In the event of termination, you must immediately discontinue the use of our services and may deactivate or delete your account, as well as any associated information and files, without liability to you or any third party.
• Suspension and Closure: ViitPay may suspend or terminate your Account (and access to Services) at any time for breach of these Terms, suspected fraud, or as required by law. If your behavior constitutes a serious breach of these Terms, we reserve the right to immediately suspend or close your Account.
• Effect of Termination: Termination does not affect liabilities incurred prior to termination. Sections such as Dispute Resolution, Limitation of Liability, and Governing Law survive termination. We may retain your personal data as permitted by law for a reasonable period after termination.

14. Assignment

• We reserve the right to assign, transfer, or delegate these Terms of Service, in whole or in part, to any third party, without notice to users.
• You agree that you may not assign these Terms of Service or transfer any of your rights or obligations under these Terms of Service to any other party, whether by operation of law or otherwise, without our prior written consent.
• Any attempted assignment or transfer without our consent will be null and void. We may transfer or assign these Terms of Service, in whole or in part, to any successor to our business or assets, whether by merger, acquisition, reorganization, or otherwise, without notice to users.

15. Entire Agreement

These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and us, governing your use of our services, and supersede all prior or contemporaneous understandings, representations, or agreements, whether oral or written, between you and us relating to our services.

16. Waiver and Severability

• In the event that we fail to enforce any right or provision of these Terms of Service, it does not waive our right to enforce such provision or any other provision in the future.
• If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the parties agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Service shall remain in full force and effect.

17. Modifications

• We may modify or replace these Terms of Service at any time, at our sole discretion. We will notify you of any material changes by posting the updated Terms of Service on our website or by email.
• The date of the last revision will be indicated at the top of the page. It is your responsibility to review the updated Terms of Service. Your continued use of our services after the effective date of the updated Terms of Service, constitutes your acceptance of the updated terms.
• If you do not agree with the updated Terms of Service, you may terminate this Agreement by providing us with a written notice.

18. Administration of VAT

• We shall not charge, collect and remit VAT, charged on all transactions carried out on our platform on behalf of the government or its designated agency.
• All users shall have the sole responsibility to pay and remit vat to the appropriate Government body responsible for such collections and remittance while transacting on our platform.
• Users (or any third party claiming through a user) shall hold us, our agents, officers harmless and not liable for loss of income, damages and any loss whatsoever occasioned by the non-payment and remittance of vat charged on transactions carried out on our platform.
• Our platform shall not be accessed and used for the sole purpose of charging, deducting and remitting vat at all material time during the usage by a user or any third party claiming through the user. We are neither an agent of the government, designated tax agency, nor an agent to any user vested with the responsibility to charge, receive and remit vat accordingly.
• We may request from a user of our platform, evidence of vat charged, received and remitted at our sole discretion or at the instant and request designated tax agency. Users shall not unreasonably decline to such request to provide evidence of vat deduction and remittance. Where such request is declined, the user shall be restricted from further use of our services at the sole discretion of ViitPay without recourse to the affected user.
• Users shall not sue, receive damages/remedies of any kind whatsoever in the event of such restriction from continuous use of our platform, occasioned by user refusal to provide evidence of vat deduction, payment and remittance upon request.
